Ms. Mitzman's practice is heavily concentrated in the area of transactional commercial real estate. Her clients include property owners and investors, developers, mortgage brokers and tenants involved in a wide range of office, retail and industrial operations. She can counsel and assist your company with most real property transactions, including leasing matters, sales and acquisitions, secured loans and loan workouts.

bulletCommercial Leasing: Ms. Mitzman has extensive experience in drafting and negotiating all types of commercial leases. Ms. Mitzman has represented numerous landlords and tenants in a variety of leasing transactions. Her current and former clients include owners, managers and tenants of office and showroom buildings, light industrial facilities, shopping centers, free-standing retail stores, agricultural properties and residential apartment complexes. Ms. Mitzman is extremely well-versed in the legal and economic aspects of commercial leasing.
 
bulletPurchase and Sale: Ms. Mitzman has broad experience handling commercial purchase and sale transactions involving raw land, industrial, office, residential, shopping center and other retail properties. She has represented both individual and institutional sellers and buyers in single and multi-property transactions. She is also experienced in handling 1031 tax free exchanges.

Lending and Real Property Finance: Ms. Mitzman has represented numerous mortgage lenders, mortgage brokers and borrowers in real property finance transactions, including loan workouts. She has documented and negotiated sizable loans for several major lending institutions, and has experience with loan portfolio acquisitions and dispositions.  

bulletConstruction and Development: Ms. Mitzman also has a comprehensive understanding of various construction and development issues. She has represented several developers in residential, office and shopping center construction and is familiar with both the AIA and AIGC forms of construction contracts.

Business

Myra Mitzman's business law practice focuses on small and mid-sized business matters, including entity selection and formation, business sales and acquisitions and commercial financing. Ms. Mitzman can counsel and assist you in forming a new business, such as a corporation, partnership or limited liability company, maintaining corporate records, and preparing licensing, confidentiality, management and other business contracts. She can also handle the purchase or sale of the stock or assets of a business.

bulletFormation of Entity and Business Planning: Ms. Mitzman has represented many businesses, including food producers, retail sellers, building contractors and entertainment companies, in connection with business entity formation, mergers and acquisitions and other operational matters.

Business Sales and Acquisitions: Ms. Mitzman has considerable experience handling all facets of stock and asset sales and acquisitions for both large and small organizations. She can assist you in understanding and negotiating your contract and help you through the maze of due diligence, representations and disclosures. Finally, she can organize and supervise the closing process and its attendant documentation so that your transaction is concluded smoothly and successfully.
